Code of Conduct, Conflict of Interest, and Confidentiality Agreement
As a condition for participation on an American Neurological Association (ANA) Committee, Subcommittee, Task Force or Work Group, the ANA Board of Directors requests that each member annually reviews and electronically signs the ANA Code of Conduct, Conflict of Interest, and Confidentiality Agreement below. Members who are unable to adhere to the code of conduct, conflict of interest, and confidentiality agreement are asked to contact ANA CEO Brenda Orffer at borffer@myana.org to formally recuse themselves from the committee.
Code of Conduct
Any member of a Committee, Subcommittee, Task Force or Work Group of the American Neurological Association shall:
- Become familiar with and committed to the responsibilities of the Committee, Subcommittee, Task Force or Work Group on which one is serving, and adhere to the principles of fairness, honesty, and utmost good faith in all committee business and interactions.
- Devote time to learning how the ANA functions—its uniqueness, strengths, and needs – particularly with regard to the charter of the Committee, Subcommittee, Task Force or Work Group on which one is serving.
- Carefully prepare for, attend at least >50% of Committee, Subcommittee, Task Force or Work Group meetings, and actively participate in meetings and assignments.
- Make every attempt to attend ANA Annual Meetings.
- Maintain the confidential nature of committee work and avoid acting as a spokesperson for the entire committee unless specifically authorized by the Committee, Subcommittee, Task Force or Work Group chair to do so.
- Make judgments always on the basis of what is best for the ANA and for the advancement of academic neurology and neuroscience as a whole, vote according to one’s individual convictions, and challenge the judgment of others when necessary; yet be willing to support the majority decision of the Committee, Subcommittee, Task Force or Work Group and work with fellow members in a spirit of cooperation.
- Refrain from actions that might compromise the ANA’s reputation or standing in the neurological and neuroscience community.
- Execute the conduct of interest policies and disclosure forms promulgated by the ANA Board of Directors.
- Complete ANA’s Code of Conduct Disclosure documentation annually.
Conflict of Interest and Confidentiality
All members of the ANA Board of Directors and its committees, subcommittees, task forces, or workgroups agree to the following terms:
Individual understands that as a member of the ANA Board of Directors, committee, subcommittee, task force, or workgroup, he or she must observe certain fiduciary duties of loyalty, care, and obedience to the ANA bylaws and policies. Individual agrees not to engage in actions that may constitute an actual, apparent, or potential conflict of interest with the mission and activities of the ANA, and will disclose to the ANA Governance Council any such conflicts of interest and any business, financial, personal, and organizational interests and affiliations that are or could be construed to be a conflict of interest.
Individual further agrees to recuse him or herself from participation and deliberation on any matter for which he/she has any significant conflict of interest and agrees that the ANA has the ultimate authority to make decisions regarding conflicts of interest and recusal from deliberation or voting.
Individual will not disclose or cause to be disclosed to anyone outside of the ANA Board of Directors, committee, subcommittee, task force, workgroup, or staff any confidential information related to any ANA activities and planning related to programs, projects, and services that are defined as confidential or understood to be confidential in nature.
“Confidential information” includes that which is marked “Confidential” or which reasonably should be understood as expected to be kept in confidence, as well as deliberations, discussions and debates on those matters, unless the information is available through public sources.
Individual will keep all such confidential information in his/her possession a safe and secure place and will take all reasonable steps to protect against inadvertent disclosure or theft of the information.
Entering my name below is equivalent to a handwritten signature and certifies my understanding of and commitment to the ANA Code of Conduct, Conflict of Interest, and Confidentiality Statement. I further understand that any violation of this code, as determined by the chair of the Committee, Subcommittee, Task Force or Work Group on which I serve and the ANA Executive Committee, may be grounds for remedial action, up to and including my removal from Committee, Subcommittee, Task Force or Work Group membership.
